1. Who We Are & What ClipReal Does

ClipReal is a performance-based clipping platform. Brands fund campaigns; creators ("Clippers") create and post short-form video clips promoting that content across social platforms (such as TikTok, Instagram, and YouTube); and Clippers earn money based on the verified views their clips generate, according to each campaign's cost-per-thousand-views (CPM) rate.

ClipReal acts as an intermediary connecting brands and Clippers and facilitating measurement and payouts. ClipReal does not employ Clippers and is not a party to any direct relationship between a brand and a Clipper beyond what these Terms describe.

2. Eligibility

• You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher.
• You must be legally permitted to enter into contracts and to receive payments in your country.
• You must comply with the terms, policies, and community guidelines of any third-party platform (TikTok, Instagram, YouTube, etc.) where you post clips.
• If you use the Service on behalf of a brand or organization, you represent that you are authorized to bind that entity to these Terms.

3. Accounts

You are responsible for keeping your login credentials secure and for all activity under your account. You agree to provide accurate information and to keep it up to date, including your payout details. You may sign up using email and password or via third-party authentication (such as Google). You may not create multiple accounts to abuse campaigns, referrals, or payouts, and you may not impersonate any person or entity.

4. Connected Social Accounts

To submit clips, you must add and verify the social media account(s) you will post from. Verification may require placing a code in your bio or providing your profile for manual review. ClipReal reserves the right to approve or reject any connected account at its discretion, and to require re-verification at any time.

5. Campaigns & Clip Submissions

• Each campaign defines its own rules, including allowed platforms, required hashtags or mentions, content briefs, CPM rate, and total budget.
• You must follow each campaign's stated requirements. Clips that do not comply may be rejected.
• Submitted clips are subject to review and approval by ClipReal and/or the funding brand. Approval is not guaranteed.
• You retain ownership of content you create, but you grant ClipReal and the relevant brand a non-exclusive, worldwide, royalty-free license to view, measure, display, and reference your submitted clips for the purposes of operating the Service, verifying performance, and promoting campaigns.
• You are solely responsible for ensuring your clips do not infringe third-party rights (including copyright, trademarks, music licensing, and likeness rights) and comply with all applicable laws and platform rules.

6. Earnings, Views & Verification

Earnings are calculated based on verified views attributed to your approved clips, multiplied by the applicable campaign CPM (pay per 1,000 views). ClipReal determines, in good faith and using the data available to it, what counts as a verified view. Views obtained through fraud, bots, paid traffic that violates platform or campaign rules, view manipulation, or other inauthentic means do not qualify and may result in forfeiture of related earnings and account action.

7. Payouts

• You may withdraw available earnings once you meet the minimum payout threshold configured on the platform.
• Payouts are supported through various methods, which may include cryptocurrency (such as USDT, BTC, ETH), PayPal, bank transfer, and local payment services (such as Easypaisa or JazzCash). Available methods may change over time.
• You are responsible for providing accurate payout details. ClipReal is not liable for funds sent to an incorrect address or account that you provided.
• Payouts may be reviewed, delayed, or withheld where we suspect fraud, policy violations, or where required by law. Rejected payouts will return the relevant amount to your available balance unless the rejection relates to a violation.
• You are solely responsible for any taxes owed on your earnings. ClipReal does not provide tax advice.
• Cryptocurrency transactions are generally irreversible. You acknowledge the risks associated with crypto, including network fees and value volatility.

8. Brand Obligations

Brands that fund campaigns are responsible for the accuracy of their campaign briefs, the lawfulness of the content they ask to be promoted, sufficient campaign budget, and compliance with advertising and disclosure laws. ClipReal may remove or pause campaigns that violate these Terms or applicable law.

9. Referrals

ClipReal may offer a referral program with bonuses for inviting new users. Bonuses are subject to the rules displayed at the time, may require the referred user to qualify, and may not be earned through fraud, self-referral, or abuse. ClipReal may modify or end the referral program at any time.

10. Prohibited Conduct

You agree not to:

• Generate fake, bot, incentivized, or otherwise inauthentic views or engagement;
• Submit clips you do not have the right to post, or that infringe others' rights;
• Post content that is illegal, hateful, harassing, sexually explicit, violent, deceptive, or harmful, or that sexualizes or endangers minors;
• Circumvent campaign rules, manipulate metrics, or abuse referrals or payouts;
• Use multiple or fake accounts to gain an unfair advantage;
• Interfere with, attack, reverse-engineer, or attempt to gain unauthorized access to the Service;
• Violate the terms or policies of any third-party platform where you post.

11. Suspension & Termination

ClipReal may suspend, restrict, or terminate your account and withhold associated earnings if you violate these Terms, engage in fraud or abuse, or where required by law. You may stop using the Service at any time. Provisions that by their nature should survive termination (including payment disputes, intellectual property, disclaimers, and limitation of liability) will survive.

12. Intellectual Property

The ClipReal name, logo, platform, and all related software, design, and content (excluding user-submitted clips) are owned by ClipReal or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without permission.

13. Third-Party Services

The Service integrates with or links to third-party platforms and services (such as social networks, authentication providers, email delivery, and payment processors). ClipReal is not responsible for the content, policies, or actions of those third parties, and your use of them is governed by their own terms.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. ClipReal does not warrant that the Service will be uninterrupted, error-free, secure, or that any particular earnings, views, or results will be achieved.

15. Limitation of Liability

To the maximum extent permitted by law, ClipReal and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, ClipReal's total aggregate liability for any claim relating to the Service will not exceed the greater of the amount of earnings paid to you in the three (3) months preceding the claim, or USD 100.

16. Indemnification

You agree to indemnify and hold harmless ClipReal and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right.

17. Changes to the Service or Terms

ClipReal may modify the Service or these Terms at any time. Material changes will be communicated through the Service or by email. Your continued use after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law & Disputes

ClipReal operates globally. To the extent permitted by applicable law, any disputes will first be attempted to be resolved informally by contacting us. Where mandatory local consumer-protection laws apply to you, nothing in these Terms removes rights you have under those laws. You agree to comply with all applicable export, sanctions, and local laws when using the Service.
